TERMS OF
SERVICE
1. ACCEPTANCE
By engaging Kodrex for any services, or by using our website at kodrex.in, you agree to these Terms of Service. If you're engaging us on behalf of a business, you represent that you have the authority to bind that business to these terms.
2. OUR SERVICES
Kodrex provides custom websites, web applications, and e-commerce platforms and related digital services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project proposal or agreement provided before work commences.
3. PAYMENT TERMS
- A 50% advance payment is required before work begins on any project
- The remaining 50% is due upon project completion, before final handover
- Monthly maintenance and retainer plans are billed at the start of each billing cycle
- All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated
- Late payments beyond 7 days may result in work being paused
4. REVISIONS & CHANGES
Every project includes two rounds of revisions as part of the agreed scope. Additional revisions or scope changes beyond what was agreed are billed separately and require written confirmation before work proceeds.
5. INTELLECTUAL PROPERTY
Upon receipt of full payment, all custom code, design assets, and content created specifically for your project are assigned to you. Kodrex retains the right to showcase the completed work in our portfolio and case studies unless you request otherwise in writing.
Kodrex retains ownership of any proprietary tools, frameworks, or reusable components used during development that are not created exclusively for your project.
6. CLIENT RESPONSIBILITIES
- Provide accurate briefs, content, and required assets in a timely manner
- Designate a single point of contact for feedback and approvals
- Provide timely feedback - delays in feedback may extend the project timeline
- Ensure any content you provide does not infringe third-party rights
7. CONFIDENTIALITY
Both parties agree to keep confidential any sensitive business information shared during the engagement. This does not apply to information that is publicly available or legally required to be disclosed.
8. LIMITATION OF LIABILITY
Kodrex's total liability for any claim arising from our services shall not exceed the total fees paid for the specific project in question. We are not liable for indirect losses, lost profits, or consequential damages.
9. TERMINATION
Either party may terminate an engagement with 14 days written notice. In the event of termination, you are responsible for payment of all work completed to date. Advance payments are non-refundable once development has begun.
10. GOVERNING LAW
These terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in India.
